These Terms apply to all purchases from Wuhan Top Co Ltd, whether made through our website, by email, through quotations or purchase orders, or by other direct sales arrangements, as well as to the use of www.trade-top.com. Please review these Terms, our Refund Policy and Shipping Policy before ordering. Any specifically agreed written contract terms take priority, subject to applicable law. Nothing in these policies excludes rights or liabilities that cannot lawfully be excluded.

1. Business Purchases and Consumer Rights

We supply industrial components for professional and business applications. A product's industrial classification does not by itself remove consumer rights. Where a buyer purchases as a consumer, mandatory consumer protections, including applicable withdrawal rights, remain effective. Business purchasers should provide accurate company details and confirm that purchases are for business use.

2. Products, Selection and Orders

Products are subject to availability. Customers must confirm the manufacturer, complete part number, specifications, dimensions, connections and intended application before ordering. Please request written clarification where compatibility is uncertain. This responsibility does not excuse an incorrect recommendation made by us, an inaccurate material description, or supply of the wrong item.

Product images may be illustrative, but goods supplied must conform to the agreed order and material description. Quoted availability and lead times must be confirmed for each order. Price changes do not retrospectively alter an accepted order without agreement. If we cannot fulfil an order, we will contact the customer and refund amounts paid for goods we do not supply.

3. Payment and Cancellation

Full payment is required before order processing and shipment unless otherwise agreed in writing. Available payment methods are those shown at checkout or specified in an agreed quotation. For bank transfers, orders remain unpaid until receipt is verified; a transfer receipt alone is not confirmation of cleared funds.

Any special-order, custom-manufacturing or cancellation restrictions must be disclosed and agreed before the order is accepted. Cancellation requests will be assessed against the agreed order terms and applicable law. No term restricts a mandatory right to cancel or withdraw.

4. Returns, Defects and Warranty Claims

Subject to applicable law, we do not offer change-of-mind returns for business purchases, including purchases where the customer selected an incorrect model or specification and the supplied item matches the agreed order. Defective goods, incorrect supply, transit damage and material discrepancies from the agreed description will be assessed under our Refund Policy and applicable law.

Please notify us promptly, preferably within 7 days of delivery for visible damage, incorrect items or apparent discrepancies. This requested notification period does not extinguish mandatory rights or claims for defects that could not reasonably be discovered within that period. Installation or use does not automatically bar a valid claim for an inherent defect; damage caused by misuse, improper installation or unauthorized modification is assessed separately.

Contact us before returning goods for written instructions. Any manufacturer's warranty availability and requirements depend on the relevant manufacturer, product and supply channel and must not be assumed from a brand name appearing on this website. Nothing here excludes statutory remedies.

5. Shipping, Risk and Delays

Delivery estimates are not guarantees unless expressly agreed in writing. Business shipping arrangements, applicable Incoterms, insurance and transfer of risk should be specified in the accepted quotation or order. We do not impose an automatic transfer of all delivery risk merely by handing goods to a carrier where this would conflict with the agreed terms or applicable law.

Please retain packaging and document visible transit damage promptly. We will cooperate in investigating carrier claims. Allocation of shipping costs and responsibility depends on the cause, the agreed shipping terms and applicable law; this does not exclude remedies for our incorrect supply or failure to meet our obligations.

Events outside reasonable control, such as natural disasters, government restrictions or significant supply-chain interruptions, may affect performance. We will communicate material delays and discuss reasonable next steps. Such events do not automatically entitle us to retain payment for goods never supplied or override mandatory cancellation or refund rights.

6. Independent Distributor and Trademark Notice

Wuhan Top Co Ltd is an independent trader and distributor. Wuhan Top Co Ltd is not an authorized agent, authorized distributor or official representative of the third-party brands identified on this website, including Rexroth, Parker, Festo, Moog, SKF, Atos, Hauhinco, Eaton, HAWE, Kromschroder, Wandfluh, SICK and Temposonics. We are not affiliated with, sponsored by or endorsed by these brand owners.

Rexroth, Parker, Festo and all other third-party brand names, trademarks, logos and product identifiers are the property of their respective trademark owners. Their use is for identifying the products offered, their specifications or accurately stated compatibility; it does not imply authorization, partnership or endorsement. References to compatible products must not be read as a claim that a third-party product is manufactured by the named brand.

Third-party product photographs, technical documents, manuals and other protected materials remain the property of their respective rights holders. Wuhan Top Co Ltd's original content remains ours or our licensors'. This notice does not grant permission to reproduce third-party materials or assert that all such use is licensed. Customers must obtain any required permission for further use.

If you believe material on this website infringes your rights, contact info@trade-top.com with the relevant URL, identification of the protected work or trademark, and details supporting your authority and claim. We will review the notice and take appropriate action.

7. Product Safety and Liability

Industrial components should be selected, installed and operated by qualified personnel in accordance with manufacturer instructions and applicable safety requirements. We are not responsible for damage to the extent caused by improper installation, misuse or operation outside agreed or manufacturer specifications.

To the extent permitted by applicable law and subject to any separately agreed contract, we exclude liability for indirect or consequential business losses, including lost profits and production downtime, and our aggregate liability arising from a specific product is limited to the amount paid for that product. These limitations do not apply to fraud, liabilities arising from death or personal injury that cannot be excluded, or any other liability or remedy that applicable law does not permit us to exclude or limit. They do not negate obligations concerning the agreed description or legally required product quality.

8. Complaints and Payment Disputes

Please contact us promptly with order details and supporting evidence so we can investigate a complaint. We retain relevant quotations, order confirmations, correspondence and delivery records for dispute handling in accordance with our Privacy Policy. These Terms do not remove a customer's lawful right to raise a payment dispute, and a no-change-of-mind policy does not determine a card issuer's dispute decision.

9. Governing Law and Policy Priority

These Terms are governed by the laws of the People's Republic of China. For business transactions, disputes are subject to the jurisdiction of competent courts in China unless otherwise agreed in writing. Mandatory consumer rights and jurisdiction protections applicable to a customer remain unaffected.

For business transactions, specifically agreed written order terms take priority over general policies, subject to applicable law. Our Refund Policy and Shipping Policy must be read consistently with these Terms; no policy overrides mandatory rights. Updates apply prospectively and do not retrospectively change an accepted order without agreement.
